In these Terms and Conditions ("Agreement"), the following definitions apply: "Company" means TOWERVIEW AI LTD, registered in England and Wales, with its principal place of business at 42 Westbourne Grove, London, W2 5SH United Kingdom. "Client" means any person, firm, company, or organisation that enters into a service agreement with the Company. "Services" means all PropTech, geographic information systems development, civil engineering software, land subdivision systems, CAD and building information modelling services, construction management software, smart infrastructure solutions, custom computer programming, and related consultancy services provided by the Company. "Deliverables" means all software, documentation, reports, data, and other materials produced by the Company in the course of providing Services. "Agreement" means these Terms and Conditions together with any applicable Statement of Work, proposal, or service order. "Intellectual Property Rights" means all patents, copyrights, trademarks, trade secrets, database rights, design rights, and all other intellectual property rights whether registered or unregistered. "Confidential Information" means all non-public information disclosed by either party in connection with the Services.
In this Agreement, unless the context otherwise requires: words in the singular include the plural and vice versa; references to statutory provisions include those provisions as amended or re-enacted; headings are for convenience only and do not affect interpretation; references to "writing" include email and other electronic communications.

This Agreement governs all commercial relationships between the Company and the Client unless otherwise agreed in writing.
These Terms and Conditions apply to all Services provided by the Company unless expressly varied in a signed Statement of Work or service agreement. In the event of conflict between these Terms and a Statement of Work, the Statement of Work shall prevail to the extent of the conflict.
No terms or conditions submitted by the Client shall form part of this Agreement unless expressly accepted in writing by the Company. The Client's purchase orders, standard terms, or other documentation shall not modify this Agreement unless specifically agreed.
A proposal or quotation issued by the Company is valid for thirty days unless otherwise stated. Acceptance by the Client constitutes a binding order subject to these Terms.
Verbal agreements or understandings shall not be binding unless confirmed in writing by both parties.
The Company provides professional software development and technology services specialising in PropTech, geographic information systems, civil engineering software solutions, land subdivision platforms, CAD and BIM integration, construction management systems, smart infrastructure and urban planning tools, and custom computer programming for the property, construction, and engineering sectors.
The specific scope, deliverables, timeline, and fees for each engagement shall be defined in a Statement of Work agreed between the parties. The Company reserves the right to decline any engagement that falls outside its areas of expertise or capacity.
Including spatial data management, parcel mapping, geospatial API development, Ordnance Survey integration, and multi-layer spatial analysis platforms.
Including automated parcel allocation, boundary validation, regulatory compliance checking, and real estate technology platform development.
Including 3D model coordination, clash detection, CAD to BIM conversion, and construction-ready model delivery.
Including project scheduling, site progress tracking, resource management, and document control systems.
Including urban planning platforms, infrastructure layer mapping, and development impact assessment tools.
Including bespoke software development, API integration, cloud architecture, and legacy system modernisation.
The Client shall provide timely access to all information, data, systems, personnel, and facilities necessary for the Company to perform the Services. Delays caused by the Client's failure to provide required materials or approvals may result in timeline adjustments and additional charges.
The Client shall designate a primary point of contact with authority to make decisions regarding the Services. The Client shall respond to requests for information, feedback, and approvals within five business days unless otherwise agreed.
The Client warrants that all data, materials, and information provided to the Company are accurate, complete, and that the Client has all necessary rights and permissions to provide such materials for use in the Services.
The Client shall provide geospatial data, CAD files, project specifications, and other technical materials in agreed formats within specified timeframes.
Where Services require access to the Client's existing systems, the Client shall provide appropriate credentials, permissions, and technical support for integration activities.
The Client is responsible for ensuring that its use of Deliverables complies with all applicable laws, regulations, and industry standards including planning regulations, building codes, and data protection legislation.
The Client shall participate in user acceptance testing and provide written sign-off or documented feedback within agreed timeframes.
Fees for Services shall be as specified in the applicable Statement of Work. Unless otherwise stated, all fees are quoted in pounds sterling and are exclusive of VAT, which shall be added at the prevailing rate.
Payment terms are thirty days from the date of invoice unless otherwise agreed. The Company reserves the right to charge interest on overdue amounts at four percent above the Bank of England base rate per annum, calculated daily from the due date until payment.
The Company may require a deposit or advance payment before commencing work on any engagement. For projects exceeding three months in duration, the Company may invoice monthly based on work completed.
Pre-approved travel, accommodation, and third-party licence costs shall be invoiced at cost plus a ten percent administration fee unless included in fixed fees.
Changes to the agreed scope of Services shall be documented in a change request and may result in adjusted fees and timelines. No change shall be implemented without written agreement from both parties.
The Company may suspend Services if any invoice remains unpaid for more than fourteen days after the due date, following written notice to the Client.
All pre-existing Intellectual Property Rights of either party shall remain the property of that party. Nothing in this Agreement shall transfer ownership of pre-existing IP unless expressly agreed in writing.
Upon full payment of all fees due, the Client shall receive a non-exclusive, perpetual licence to use the Deliverables for its internal business purposes. Source code licences, where applicable, shall be specified in the Statement of Work.
The Company retains ownership of all general methodologies, frameworks, tools, libraries, and know-how developed or used in providing the Services, provided such items do not contain Client Confidential Information or Client-specific customisations covered by the Deliverables licence.
Bespoke software developed specifically for the Client shall be licensed as specified in the Statement of Work. Full ownership transfer is available by separate agreement and additional fee.
Deliverables may incorporate open-source or third-party components subject to their respective licences. The Company shall identify material third-party components in project documentation.
The Company retains the right to reference the Client's name and general project description in its portfolio and marketing materials unless the Client requests otherwise in writing.
Each party shall treat as confidential all Confidential Information received from the other party and shall not disclose such information to any third party without prior written consent, except as required by law or to professional advisers bound by confidentiality obligations.
Confidentiality obligations shall survive termination of this Agreement for a period of five years. Confidential Information shall not be used for any purpose other than performing obligations under this Agreement.
Confidentiality obligations do not apply to information that is publicly available, already known to the receiving party, independently developed, or required to be disclosed by law or court order.
Both parties shall implement appropriate technical and organisational measures to protect Confidential Information in accordance with applicable data protection legislation.
The Company warrants that Services shall be performed with reasonable skill and care consistent with industry standards for PropTech, GIS, and civil engineering software development. The Company does not warrant that Deliverables shall be error-free or that they shall meet every possible use case.
The Client's sole remedy for breach of the skill and care warranty shall be re-performance of the defective Services or, at the Company's option, a refund of fees paid for the defective portion of Services.
The Company provides a ninety-day warranty period from delivery during which material defects in Deliverables shall be corrected at no additional charge, provided the defect is reported in writing with sufficient detail to reproduce the issue.
Except as expressly stated, all Services and Deliverables are provided without any other warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement.
Neither party shall be liable to the other for any indirect, incidental, special, consequential, or punitive damages including loss of profits, revenue, data, or business opportunity, regardless of the cause of action or theory of liability.
The total aggregate liability of the Company under or in connection with this Agreement shall not exceed the total fees paid by the Client under the applicable Statement of Work during the twelve months preceding the claim, or ten thousand pounds sterling, whichever is greater.
Nothing in this Agreement shall limit liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be limited under applicable law.
The Client shall indemnify the Company against claims arising from the Client's misuse of Deliverables, provision of inaccurate data, or breach of applicable laws.
Neither party shall be liable for failure to perform obligations due to events beyond reasonable control including natural disasters, pandemics, government actions, or infrastructure failures.
This Agreement commences upon acceptance of a proposal or Statement of Work and continues until all Services under the applicable Statement of Work have been completed and accepted, unless terminated earlier in accordance with this section.
Either party may terminate this Agreement by giving thirty days written notice if the other party materially breaches any term and fails to remedy the breach within fourteen days of receiving written notice specifying the breach.
The Company may terminate immediately if the Client becomes insolvent, enters administration, or ceases to carry on business. Upon termination, the Client shall pay for all Services performed and expenses incurred up to the termination date.
Upon termination, each party shall return or destroy Confidential Information of the other party. Provisions relating to confidentiality, intellectual property, limitation of liability, and payment shall survive termination.
Upon termination, the Company shall deliver all completed work and work in progress to the Client upon payment of outstanding fees.
Both parties shall comply with all applicable data protection legislation including the UK GDPR and the Data Protection Act 2018. Where the Company processes personal data on behalf of the Client, the parties shall enter into a data processing agreement as required by law.

For most engagements, the Client is the data controller and the Company is the data processor. Roles shall be confirmed in the Statement of Work or data processing agreement.
The Company may engage sub-processors for cloud hosting and technical services. A list of sub-processors is available upon request.
Upon completion or termination of Services, the Company shall return or delete Client data in accordance with the data processing agreement and Client instructions.
The parties shall attempt to resolve any dispute arising from this Agreement through good faith negotiation. If negotiation fails within thirty days, either party may refer the dispute to mediation under the Centre for Effective Dispute Resolution (CEDR) Model Mediation Procedure.
If mediation fails to resolve the dispute within sixty days of referral, either party may commence legal proceedings in the courts of England and Wales, which shall have exclusive jurisdiction.
During dispute resolution proceedings, both parties shall continue to perform their obligations under this Agreement except where such performance is directly in dispute.
Each party shall bear its own costs of dispute resolution unless otherwise ordered by a court or agreed between the parties.
This Agreement constitutes the entire agreement between the parties regarding its subject matter and supersedes all prior agreements, representations, and understandings. No amendment shall be effective unless in writing signed by both parties.
Neither party may assign this Agreement without the prior written consent of the other party, except that the Company may assign to a successor entity in connection with a merger, acquisition, or corporate reorganisation.
Failure by either party to enforce any provision shall not constitute a waiver of the right to enforce that provision subsequently. If any provision is found unenforceable, the remaining provisions shall continue in full force.
Notices under this Agreement shall be sent to general@towerviewai.codes for the Company and to the address specified in the Statement of Work for the Client. Notices sent by email shall be deemed received on the next business day.
The Company may subcontract portions of the Services to qualified third parties provided the Company remains responsible for the quality and delivery of all Services.
The parties are independent contractors. Nothing in this Agreement creates a partnership, joint venture, employment, or agency relationship.
If any provision is held invalid or unenforceable, it shall be modified to the minimum extent necessary or severed, and the remaining provisions shall remain in effect.
This Agreement does not confer any rights on any person or party other than the Company and the Client, pursuant to the Contracts (Rights of Third Parties) Act 1999.
The Company maintains internal service level standards for all PropTech, GIS, and civil engineering software engagements. Response times for support enquiries during the warranty period are two business days for standard issues and one business day for critical issues affecting production systems.
Planned maintenance windows shall be communicated at least five business days in advance. Emergency maintenance may be performed with as much notice as practicable.
Cloud-hosted Deliverables shall target ninety-nine point five percent uptime excluding planned maintenance, measured monthly.

Issues not resolved within agreed timeframes may be escalated to senior technical personnel upon written request from the Client.
Deliverables shall be delivered electronically unless otherwise agreed. The Client shall review Deliverables within ten business days of delivery and either accept them in writing or provide detailed rejection notice specifying material non-conformities.
If the Client fails to respond within the acceptance period, Deliverables shall be deemed accepted. The Company shall remedy any valid rejection notices within a reasonable timeframe at no additional charge during the warranty period.
Large projects may be delivered in phases as specified in the Statement of Work. Each phase is subject to the acceptance process described above.
Deliverables include user documentation, technical documentation, and deployment guides as specified in the Statement of Work.

For critical Deliverables, source code escrow arrangements may be established by separate agreement to protect the Client's interests in the event of TOWERVIEW AI LTD's insolvency.

During the term of this Agreement and for twelve months thereafter, neither party shall directly solicit for employment any employee of the other party who was involved in the Services, without prior written consent.

Neither party shall issue press releases or public statements regarding the Services or this Agreement without the prior written consent of the other party, except as required by law.

TOWERVIEW AI LTD shall maintain complete records of all Services performed, including project documentation, correspondence, change requests, and acceptance records, for a minimum of seven years following project completion.
